Contract Terminology
'The seller' is Rotagrip Ltd.
‘The buyer’ means the person, business or any other party with whom the Rotagrip Ltd contracts to supply.
‘The goods’ means the items that Rotagrip Ltd has contracted to supply to the buyer in accordance with these conditions.
‘The services’ means the services that Rotagrip Ltd has contracted to carry out for the buyer in accordance with these conditions.
‘The contract’ means any contract that Rotagrip Ltd has made with the buyer to provide goods or services.
Exclusions
Unless otherwise agreed in writing by Rotagrip Ltd these conditions apply to the exclusion of any conditions stipulated by the buyer during negotiation, or in any order.
Quotations
Any quotation made by Rotagrip Ltd shall not be binding until Rotagrip Ltd has accepted an order for the quoted goods. The contract then made between Rotagrip Ltd and the buyer will then be subject to these conditions. Except where mentioned later in these conditions no representative of Rotagrip Ltd has the right to agree any other terms inconsistent with them, except with the written permission of a Director.
Prices
Rotagrip Ltd will guarantee any price quoted for goods or services not listed in its current price lists for a maximum of 30 days from the quotation date. After this time the goods or services will be re-quoted.
Rotagrip Ltd reserves the right to alter all or any of the prices in its current price lists at any time. While notification of price changes will be communicated to the buyer as soon as possible, usually before any changes, Rotagrip Ltd will not be responsible to the buyer if such notification is not received, or acted on, by the buyer.
On occasion, the prices payable of goods advertised on our web site may differ from those prices offered in the then current catalogue or in one of our trade counters, and we are under no obligation to honour any web site price if there is such a difference. Occasionally an error may occur with our web site and goods may be incorrectly priced in which circumstances we will not be obliged to supply the goods at the incorrect price. Any prices that are listed as zero are price on application, and you should email for the current price beforee purchasing.
All prices quoted either in Rotagrip Ltd’s price lists or quotations for goods to be supplied within the UK or European Union are exclusive of any applicable value added tax (currently at 15%). This will be added on invoicing. All other orders are VAT free.
Orders
The buyer is responsible for the accuracy of any order including correct description of the items to be ordered.
Unless otherwise specified goods ordered will be supplied to the standards and specifications stated in Rotagrip Ltd’s catalogues and price lists. Where goods to different specifications are required the buyer is responsible for supplying suitable and accurate information to enable Rotagrip Ltd to properly fulfil the order. This information may include, but is not limited to, drawings, samples and standards.
Where goods are ordered to the buyers specifications, the buyer will indemnify Rotagrip Ltd against any infringement of intellectual property rights including, but not limited to patent, trademark, copyright, and any loss that Rotagrip Ltd may incur due to such infringement worldwide.
All orders for goods or services to the buyer’s specifications are to be confirmed in writing to Rotagrip Ltd before the contract is made. When such an order has been placed Rotagrip Ltd will not accept cancellation.
Guarantee
All our products are guaranteed for 12 months unless otherwise stated with the sales documents or at time of purchase.
Making A On-Line Purchase
Making a purchase is easy. Just browse our Catalogue, and click on any items that you wish to buy and put them into the shopping cart. After you have finished your selection, click on "Order" and you will be asked for a few details that we need to be able to satisfy the order. Orders may be printed and posted or faxed or sent direct via the internet. Please ensure that the delivery address supplied is one where the goods will be properly received from the carrier
Our minimum order is £15.00 plus any shipping costs
We accept credit card payment by Visa Mastercard & Switch. . You may send your credit card information via phone, fax, snail mail to our Sales Engineers or over the Internet.
Termination
We may suspend further supply or delivery, stop any goods in transit or terminate our contract by notice in writing to you if you are in breach of an obligation hereunder or you become unable to pay your debts when they fall due or proceedings are commenced by or against you alleging bankruptcy or insolvency. Upon termination, your indebtedness to us becomes immediately due and payable and we shall be under no further obligation to supply goods to you.
Back Orders
While we endeavour to hold sufficient stock to meet all orders, if we have insufficient stock to supply or deliver the goods ordered we will contact yourselves and back order the product if this is acceptable.
Delivery
Orders are normally despatched within 2 working days unless we are waiting delivery of an item or items. In this case we will usually contact yourselves to discuss and agree whether to dispatch part order or to despatch when the order is complete to save extra carriage costs.
Rotagrip Ltd will deliver the goods to the buyer by the most convenient and economical method. If the buyer specifies an alternative delivery method for any reason, this is to be agreed with Rotagrip Ltd, as an additional delivery charge will be likely.
Rotagrip Ltd will deliver to the address specified by the buyer. If no address is specified, Rotagrip Ltd will deliver to the buyer’s normal address. If Rotagrip Ltd is requested by the buyer to deliver to a third party, a charge may be made by Rotagrip Ltd for this service.
Rotagrip Ltd will endeavour to deliver the goods and services ordered within a reasonable time, or, for non-stocked items, within the time stated in quotation. Rotagrip Ltd cannot be responsible for delays due to circumstances beyond it’s control, however. Also, quoted times are only estimates given in good faith and Rotagrip Ltd will not be responsible for failure to deliver within a quoted (estimated) time.
Where goods are to be paid for before delivery Rotagrip Ltd will advise the buyer when the order is complete. The goods will then be stored by Rotagrip Ltd for a maximum of 30 days. If payment has not been made by this time the goods will be returned to stock or may be sold to an alternative buyer.
If goods are to be delivered in instalments each instalment will constitute a separate contract. Failure to deliver any instalment on time will not affect contracts for other instalments.
Most products in this online catalogue identify carriage to destinations on the UK mainland . Carriage to all other destinations may be calculated by Rotagrip dependent on total weight and destination. The delivery cost of multi-part orders will usually be less than shown on the web catalogue with adjustments made on the invoice to represent the real costs. The delivery charge indicated in the shopping cart may be incorrect due to weights of various products being unknown. Price for delivery will be charged and per the shipping rate price list which can be accessed via the link on the home page.
In spite of delivery having been made, title in the goods shall not pass to you until you have paid the price for the goods in full and no other sums whatsoever shall be due to us from you. Until title in the goods passes from us, you shall hold the goods on a fiduciary basis as bailee and shall store the goods at your own cost separately from all other goods in your possession and marked in such a way that they are clearly identified as our property.
Force Majeure
We shall have no liability to you for any failure or delay in supply or delivery or for any damage or defect to goods supplied or delivered hereunder that is caused by any event or circumstance beyond our reasonable control (including, without limitation, strikes, lockouts and other industrial disputes).
Collections
If goods are to be collected from Rotagrip Ltd’s premises, Rotagrip Ltd will advise the buyer when the order is ready, Rotagrip Ltd will have 7 days to collect listed items’ and 30 days to collect any items specially produced for the buyer. After these times, goods not paid for will be returned to stock, or may be sold to an alternative buyer. Goods paid for may incur a storage charge.
Returns Policy
Rotagrip may accept goods returned which have been ordered in error providing they are new & unused. Rotagrip cannot however refund or credit the cost of getting the original order to you - only the cost of the goods and a restocking charge is also deducted from the refund. Such returns and refunds are at the discretion of Rotagrip subject to agreement being reached in respect of terms and conditions of such returns.
Payment
All goods must be paid for prior to shipping, we do not offer credit facilities.
Credit Card Security
We know of no documented cases of credit card fraud using our shopping system over the Internet. All credit card numbers are encrypted in the software when the order is placed using 128 bit encryption. They are only decrypted after they reach our computer. They are not held in clear text on any web site.
Liabilities
If the buyer takes delivery of goods ordered from Rotagrip Ltd and finds any discrepancy between the delivery documents and the goods received, for any reason, he/she must advise Rotagrip Ltd of the discrepancy within seven days. If the buyer suspects that a consignment from Rotagrip Ltd has been lost in transit he/she must advise Rotagrip Ltd as soon as possible. Rotagrip Ltds liability will be limited to replacing or repairing lost or damaged goods. Rotagrip Ltd will not be liable for any consequential loss resulting from goods lost or damaged in transit.
Rotagrip Ltd will be responsible for goods in transit until delivered to the buyer, except where delivery is postponed at the buyers request. Rotagrip Ltd will also not be liable for any damage caused to any buyer’s property left with Rotagrip Ltd regardless of how it is caused.
If any goods supplied by Rotagrip Ltd are found by the buyer to be defective, the buyer must inform Rotagrip Ltd within 14 days of receipt of the goods, in writing, of the nature of the defect. This also applies to goods manufactured to the buyer’s specifications, which the buyer deems are incorrect.. Rotagrip Ltd’s liability in such cases will be limited to replacing or repairing the defective or incorrect items. The Rotagrip Ltd will not be responsible for any direct or consequential loss arising from such defective or incorrect goods.
Where goods are to be replaced by Rotagrip Ltd, credit will be made for the original goods and a new invoice for the replacements.
General
If any part of these conditions is invalid, illegal or unenforceable (including any provision in which we exclude our liability to you) the validity, legality or enforceability of any other part of these conditions will not be affected. This contract shall be governed by and interpreted in accordance with English law.
